These Terms & Conditions ("Terms") govern your access to and use of Respondex, Inc.'s ("Respondex") website and application (together, the "Service"). By creating an account, you agree to these Terms.
You must provide accurate registration information and are responsible for safeguarding your account credentials. You are responsible for all activity under your account, including actions taken by users you invite.
As between you and Respondex, you retain full ownership of all content you upload to the Service and 100% ownership of all output the Service generates on your behalf — including drafted RFP, DDQ, and security-questionnaire responses, flagged-claim reports, and any exported documents. Respondex claims no license to use your drafted output for any purpose other than providing the Service to you, and does not use your output to train shared models (see our Privacy Policy, Section 1).
Each subscription tier includes a monthly allotment of drafted responses as described on our Pricing page. A "response" is counted at the point a new questionnaire is submitted for drafting; subsequent edits, exports, or re-drafts of that same response do not consume an additional credit.
Responses drafted beyond your plan's monthly allotment are billed at the then-current per-response overage rate and itemized on your next invoice. Overage billing does not automatically upgrade your subscription tier.
Unused response credits do not roll over to the following billing period and hold no cash value.
Fees are billed in advance on a monthly or annual basis as selected at signup. All fees are non-refundable except as required by law or expressly stated in an enterprise order form. Respondex may change subscription pricing with at least 30 days' notice before it applies to your next renewal term.
You agree not to: (a) use the Service to draft responses containing knowingly false certifications or claims presented as verified when they are not; (b) reverse-engineer or attempt to extract the Service's underlying models; (c) use the Service to build a competing product; or (d) exceed reasonable API or usage rate limits in a manner that degrades Service performance for other customers.
Enterprise-tier customers with an active order form referencing this Section 6 are entitled to: (a) a 99.9% monthly uptime commitment for the core drafting and claim-verification services, excluding scheduled maintenance windows communicated at least 48 hours in advance; (b) service credits of 5% of monthly fees for each full percentage point of uptime below 99.9% in a given month, up to a maximum of 30% of monthly fees; and (c) credit requests must be submitted in writing within 30 days of the affected month. Service credits are the sole and exclusive remedy for any uptime shortfall.
Respondex will implement and maintain the technical and organizational security measures described in our Privacy Policy, including TLS 1.3 encryption in transit and AES-256 encryption at rest. Enterprise customers may request a Data Processing Addendum incorporating Standard Contractual Clauses where applicable.
Drafted responses are generated based on your uploaded content and are provided as a starting point requiring human review before submission to any third party. Respondex is not responsible for claims, certifications, or pricing submitted in a final response that a customer did not review or verify before submission, including claims the Service flagged for review that were subsequently approved without verification by the customer.
To the maximum extent permitted by law, Respondex's total liability arising out of or related to these Terms will not exceed the fees paid by you in the 12 months preceding the claim. Respondex is not liable for indirect, incidental, or consequential damages, including lost business or lost proposals.
Either party may terminate for convenience at the end of the then-current billing term with 30 days' written notice. Respondex may suspend or terminate accounts immediately for material breach of these Terms, including violation of Section 5.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
We will provide at least 30 days' notice of material changes to these Terms via email to the account owner before they take effect.
